Gates Foundation Agreement
Gatesfoundation.org is a website affiliated with the Bill & Melinda Gates Foundation, a non-profit foundation that exists under the laws of the state of Washington. United States (“Foundation”, “we”, “us”, “our”, etc.). These Terms of Use (“Terms”) constitute an agreement between the Foundation and you and govern your use of the Site (as defined below) and any information posted on or through it. These Terms, including the Privacy Policy, the Amendments and: (a) the notices, terms and materials contained therein; (b) additional terms and conditions contained on the Website for specific activities or content; and (c) our disclosures and your consents given on or in connection with the Site or the content, services or other activities; constitute the entire agreement between you and the Foundation with respect to the entire Website or the subject matter of the foregoing (collectively, “Entire Agreement”). If any provision of the entire Agreement is held to be invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, provided that the allocation of risk described herein takes effect to the extent possible. The foregoing does not affect the applicability of any additional agreements you enter into, such as.B. a grant agreement. For all programmatic investments, the agreement sets out specific global access requirements in terms of milestones, reporting obligations and related deadlines for submission. If you have any questions about the requirements for global access, please contact the program officer or the representative of the legal team working with the program. Managing intellectual property (typically patents, copyrights, trademarks, trade secrets, know-how, and data rights) and related rights (“intellectual property rights”) created or accessed through programmatic investments is often crucial for global access. The Foundation recognizes that obtaining intellectual property protection for certain technologies or information in certain markets is an appropriate element of Global Access, provided that such intellectual property rights are managed in such a way as to ensure the widest possible access to those who need it most. In addition, the rights of third parties must be assessed to ensure that they do not compromise the objective of ensuring the availability and accessibility of funded developments for our beneficiaries, including in terms of cost, quantity, delivery and delivery. Global Access is a concept developed by the Foundation to ensure that Foundation-funded projects (whether grants, contracts or program-related investments, collectively, the “Programmatic Investments”) and the resulting products, services, processes, technologies, materials, software, data and other innovations (collectively, the “Funded Developments”) have a positive impact on the beneficiaries served by the work of the Foundation.
Global access requires that (a) the knowledge and information gained through programmatic investment be disseminated quickly and widely, and (b) that funded developments be made available to our intended beneficiaries at an affordable price. As part of global health and development programs, our beneficiaries are the most needy people living in developing countries, and in U.S. programs include low-income students, first-generation students of color, and first-generation students, as well as the education systems that serve these communities. Gates will remain a trustee during the “probationary period,” though a blog post announced Wednesday that the foundation will hire new trustees to oversee its work. The announcement also follows billionaire investor Warren Buffett`s recent decision to step down from the board. You agree to indemnify, defend and hold harmless the Foundation and any third party from and against any and all losses, damages, liabilities and costs of any kind incurred by any of them in connection with any claim, damage or loss in connection with or for any of the following reasons: the content, use of the Website or related Websites, any material or service, provided by us or by a third party, any alleged unauthorized use of the Site, or any violation or alleged violation by you of these Terms. You agree to cooperate fully in the defense of the foregoing. We reserve the right, at our own expense, to control only the defense of matters that are otherwise subject to indemnification by you, and you will not resolve any matter in a non-electronic file without our consent. Your indemnification, defense, and indemnification obligations are limited to the extent that you enjoy sovereign immunity under applicable federal, state, or local law. In such cases, where your obligation to pay compensation may be limited due to the requirements of federal, state, or local laws, you will be liable for ordinary acts of negligence and omissions of your agents and employees that cause harm to persons who are not parties to this Agreement. Termination or termination does not remove the remaining provisions of these Terms (see “Entire Agreement; Miscellaneous”) and you remain responsible for any obligations arising prior to the termination of the agreement or access.
He has previously stated that his “physical involvement is in no way required” for the foundation to achieve its goals.
